Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 8, 2022, Amy von Walter notified the Board of Directors (the “Board”) of Aterian, Inc. (the “Company”) of her decision to resign from the Board and all committees of the Board, effective as of July 8, 2022 in connection with her acceptance of an offer to pursue another professional opportunity. Ms. von Walter’s decision to leave the Board is due to her new position and not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
